Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and StableFi LLC, a Florida limited liability company, with its principal office at 3100 N Ocean Dr, P405, Riviera Beach, FL 33404 ("StableFi," "we," "us," or "our"), governing your access to and use of the StableFi platform, website at stablefi.ai, APIs, SDKs, and all related services (collectively, the "Platform").
BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
1. Platform Description
StableFi operates a clearing and trust network for AI agent commerce. The Platform enables AI agents and their operators to register identities, create USDC wallets on the Coinbase Base blockchain, execute transactions, and build verifiable trust scores. StableFi facilitates the processing of payments denominated in USDC and provides trust-scoring infrastructure. StableFi is not a bank, money transmitter, broker, or exchange.
2. Eligibility & Account Registration
2.1 Eligibility
You must be at least 18 years of age and capable of forming a binding contract under applicable law. By using the Platform, you represent and warrant that you meet these requirements and are not barred from receiving services under the laws of the United States or any other applicable jurisdiction.
2.2 Account Information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are solely responsible for maintaining the confidentiality of your account credentials and API keys, and for all activities that occur under your account.
2.3 Agent Registration
When you register an AI agent on the Platform, you represent and warrant that you are the authorized operator of that agent and that the agent's activities will comply with these Terms and all applicable laws.
3. Wallet & Custody
3.1 Non-Custodial Nature
StableFi does not custody, hold, or control your funds. Wallets are created and managed via the Coinbase Developer Platform (CDP) SDK. Private keys are secured by Coinbase using Trusted Execution Environments (TEEs). StableFi does not have access to your private keys.
3.2 No Fiduciary Duty
StableFi does not owe you any fiduciary duty. We act solely as a technology provider facilitating transactions between parties. Nothing in these Terms creates an advisory, fiduciary, or agency relationship between you and StableFi.
3.3 Transaction Finality
All transactions settled on the Base blockchain are final and irreversible. StableFi bears no liability for transactions sent to incorrect addresses, failed transactions due to insufficient funds, or any losses arising from blockchain network conditions.
4. Transactions & Fees
StableFi charges transaction fees based on the applicable Trust Score tier, ranging from 0.5% to 3.0%. Fee schedules are published on the Platform and may be updated from time to time. All fees are non-refundable unless otherwise stated. You are responsible for any network gas fees incurred on the Base blockchain.
5. StableFi Trust Score
The StableFi Trust Score ("STS") is an informational metric computed from six factors: identity verification, transaction history, dispute rate, delivery performance, wallet solvency, and network tenure. The STS is provided for informational purposes only and does not constitute a guarantee, warranty, or representation of any party's creditworthiness, reliability, or trustworthiness. StableFi reserves the right to modify the Trust Score methodology at any time without notice.
6. Prohibited Activities
You agree not to use the Platform to:
- Engage in fraud, deception, or misrepresentation
- Launder money or finance terrorism
- Violate any applicable sanctions laws (including OFAC, EU, and UN sanctions)
- Transact with sanctioned persons, entities, or jurisdictions
- Circumvent or manipulate the Trust Score system
- Interfere with or disrupt the Platform's infrastructure
- Attempt to gain unauthorized access to accounts or systems
- Use the Platform for any illegal purpose
- Reverse engineer, decompile, or disassemble the Platform
- Scrape, harvest, or collect data from the Platform without authorization
- Engage in market manipulation or wash trading
- Create multiple accounts to circumvent restrictions or abuse promotions
7. Intellectual Property
7.1 StableFi IP
The Platform, including all software, algorithms, designs, text, graphics, trademarks, service marks, and other intellectual property, is owned by StableFi or its licensors. Nothing in these Terms grants you any right, title, or interest in StableFi's intellectual property except the limited right to use the Platform in accordance with these Terms.
7.2 Feedback License
If you provide StableFi with any feedback, suggestions, or recommendations ("Feedback"), you hereby grant StableFi a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, modify, and incorporate such Feedback into the Platform or any other StableFi product or service without any obligation to you.
8. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
StableFi does not warrant that the Platform will be uninterrupted, error-free, secure, or available at any particular time or location. StableFi does not guarantee any specific uptime or service level. You use the Platform at your own risk.
StableFi makes no representations or warranties regarding the accuracy, reliability, or completeness of any Trust Score or any information provided through the Platform.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STABLEFI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR DIGITAL ASSETS, REGARDLESS OF THE THEORY OF LIABILITY.
STABLEFI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO STABLEFI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless StableFi, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your agents' activities on the Platform; or (e) any dispute between you and any third party.
11. Dispute Resolution & Arbitration
11.1 Mandatory Arbitration
ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS COMMERCIAL ARBITRATION RULES. The arbitration shall be conducted in Miami, Florida, unless the parties mutually agree otherwise. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
11.2 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
11.3 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
12. Termination
12.1 Termination by You
You may terminate your account at any time by contacting us at legal@stablefi.ai. Termination does not relieve you of any obligations accrued prior to termination.
12.2 Termination by StableFi
StableFi may suspend or terminate your access to the Platform: (a) immediately, without notice, for fraud, sanctions violations, or illegal activity; or (b) upon thirty (30) days' written notice for any other breach of these Terms, provided you fail to cure the breach within such notice period.
12.3 Effect of Termination
Upon termination, your right to use the Platform ceases immediately. You must withdraw any remaining funds from your wallet within thirty (30) days of termination, after which StableFi shall have no obligation regarding any remaining balance.
13. Modifications to Terms
StableFi reserves the right to modify these Terms at any time. We will provide at least thirty (30) days' prior notice of material changes by posting the revised Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after the effective date of the revised Terms constitutes acceptance of the changes.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. To the extent that litigation is permissible under these Terms, the exclusive venue shall be the state and federal courts located in Miami, Florida.
15. General Provisions
15.1 Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
15.2 Entire Agreement
These Terms, together with the Privacy Policy and any applicable supplemental agreements (Merchant Agreement, Agent Wallet Agreement), constitute the entire agreement between you and StableFi regarding the Platform.
15.3 Waiver
The failure of StableFi to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms without StableFi's prior written consent. StableFi may assign these Terms without restriction.
15.5 Survival
Sections 7 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 11 (Dispute Resolution), and 14 (Governing Law) shall survive any termination or expiration of these Terms.
15.6 Force Majeure
StableFi shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, blockchain network failures, or government actions.
